2.2 Service Availability

We make reasonable efforts to ensure our services are available at all times. However, we cannot guarantee uninterrupted access and may suspend services for maintenance, updates, or due to circumstances beyond our control.

3. Your Obligations

3.1 Lawful Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You must not:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit harmful, offensive, or illegal content
  • Attempt to gain unauthorized access to our systems

4. Payment Terms

4.1 Pricing and Payment

All prices are displayed in British Pounds (GBP) and include VAT where applicable. Payment terms are:

  • One-time projects: 50% deposit, 50% on completion
  • Monthly services: Payment due monthly in advance
  • Payment due within 14 days of invoice date
  • Late payment may incur interest charges at 8% per annum above Bank of England base rate

4.2 Refunds and Cancellations

Consumer Rights: Under the Consumer Rights Act 2015, consumers have the right to cancel contracts within 14 days of agreement (cooling-off period) unless work has commenced with express consent. For business customers, refunds are at our discretion based on work completed.

5. Intellectual Property Rights

5.1 Website Ownership

Upon full payment, you will own the website we create for you, including all custom code and design elements. We retain the right to use general techniques, methodologies, and non-proprietary elements in future projects.

5.2 Third-Party Assets

Some elements may be subject to third-party licenses (fonts, stock images, plugins). You are responsible for obtaining appropriate licenses for continued use of these elements.

5.3 Portfolio Rights

We reserve the right to showcase completed projects in our portfolio and marketing materials unless you specifically request confidentiality in writing.

6. Limitation of Liability

6.1 Exclusions and Limitations

Important: Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded under UK law

Subject to the above, our total liability for any claims arising from our services shall not exceed the amount paid by you for the specific service giving rise to the claim. We shall not be liable for any indirect, consequential, or special damages.

7. Data Protection and Privacy

We process personal data in accordance with UK GDPR and the Data Protection Act 2018. Our Privacy Policy (available at /privacy-policy) explains how we collect, use, and protect your data.

When we host your website, you may be a data controller for personal data collected through your site. You are responsible for ensuring compliance with data protection laws for data you collect.

8. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, epidemics, government actions, or failures of internet infrastructure or third-party services.

9. Termination

9.1 Termination by You

You may terminate ongoing services by giving 30 days' written notice. You remain liable for all charges incurred prior to termination.

9.2 Termination by Us

We may terminate or suspend services immediately if you breach these Terms, fail to pay invoices, or engage in activities that could harm our business or reputation.

10. Governing Law and Jurisdiction

These Terms are governed by English law and subject to the exclusive jurisdiction of the English courts. However, if you are a consumer, you may have additional rights under local consumer protection laws.

Alternative Dispute Resolution: Before pursuing court action, we encourage resolving disputes through mediation or the relevant ombudsman service where applicable.

11. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services or legal requirements. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Continued use of our services after changes constitutes acceptance of the new Terms.
